Live Karaoke Gig™ — Terms of Use for Attendees

Live Karaoke LLC (“Live Karaoke,” “we,” “us,” or “our”)

These Terms (“Terms”) govern your participation in the Live Karaoke experience through the Live Karaoke Gig™ platform (“Gig”), operated by Live Karaoke LLC.

By accessing Gig, selecting a song, or participating in any Live Karaoke performance, you agree to these Terms.

If you do not agree, please do not proceed.

1. Eligibility and Minors

You must be at least 18 years old to register on Gig, accept these Terms, and participate on your own behalf.

If a participant is under 18 years old, that participant’s parent or legal guardian must complete registration on Gig and accept these Terms on the minor’s behalf, including the authorization described in Section 6 (Recording and Use of Image, Voice, and Likeness). A minor should not register on Gig or accept these Terms themselves.

If the participant is under 13 years old, we additionally require verifiable parental consent, collected directly by us or by event staff at the time of registration, before any personal information is collected from that participant through Gig, consistent with the Children’s Online Privacy Protection Act (COPPA).

If a parent or legal guardian has not completed registration and provided the applicable consent for a participant under 18, that participant should not be registered, recorded, or included in the performance.

2. Participation in the Experience

We provide an interactive live music experience where guests may be invited to sing with our band.

Participation is entirely voluntary. Submitting your name or selecting a song does not guarantee that you will be selected to perform.

We reserve discretion, exercised consistent with these Terms, over:

• participant selection
• performance order
• stage time

3. Conduct and On-Stage Behavior

We are committed to a respectful and inclusive environment. By participating, you agree that you will not:

• engage in offensive, abusive, discriminatory, or unlawful behavior
• use language or gestures that are inappropriate for a professional or public setting
• create unsafe conditions for yourself, other participants, or our team

We reserve the right, at any time, to:

• deny participation
• interrupt or stop a performance
• remove a participant from the stage or experience

This may occur without prior notice and without any obligation to provide an alternative performance opportunity, where necessary to maintain a safe or respectful environment.

4. Responsibility for Participant Expression

We provide the platform and musical support for participant performances. We do not control, monitor in real time, or pre-screen all participant expression.

Accordingly, we are not responsible for, and expressly disclaim any liability for, anything you or other participants say, sing, or express, or any statements, lyrics, gestures, or conduct during performances.

Each participant is solely responsible for their own actions and expression.

5. Content and Song Availability

We provide a curated song catalog designed for interactive live performance in corporate and social event environments. By participating, you acknowledge and agree that:

• only songs available within our system may be selected and performed
• not all songs may be available at all times
• song availability may vary based on event, format, and technical limitations

We maintain content standards appropriate for a broad audience. As a result, explicit, sexually graphic, or otherwise inappropriate lyrics may not be displayed and may be modified or omitted, and certain songs or lyrics may be unavailable due to licensing, copyright, or technical restrictions.

These limitations are an integral part of the Live Karaoke experience and do not affect the nature or quality of the performance.

6. Recording and Use of Image, Voice, and Likeness

Our events may be recorded, photographed, filmed, or streamed. By participating, you acknowledge and agree that:

• What is captured: your image, voice, name, and likeness may be captured during the event.
• Purpose: such content may be used by Live Karaoke for promotional, marketing, institutional, and commercial purposes (including Live Karaoke’s own portfolio and marketing materials). The client for whose event the content was captured may also receive and use such content, but solely for that client’s own internal and institutional communications, unless the applicable event contract between Live Karaoke and that client expressly permits broader use.
• Territory: worldwide, to the extent Live Karaoke or the applicable client operate in the relevant market.
• Media: any existing or future medium, including print, digital, social media, broadcast, and audiovisual materials.
• Duration: five (5) years from the date of capture, or until you request removal from future distribution, whichever occurs first — this does not affect materials already published or distributed prior to your request. This authorization is provided without additional compensation.

If you do not wish to be recorded, you should not participate in the performance. You may request clarification of this authorization, or request removal from future use of your image, by contacting us at the email below.

7. Communications

By using Gig, you agree that we may send you communications related to the experience, including via email, SMS, or other messaging applications. These may include participation updates, performance notifications, and operational messages related to the event.

You may opt out of SMS communications at any time by replying STOP. Reply HELP for assistance. Message frequency varies. Standard message and data rates may apply.

8. No Employment or Professional Relationship

Participation in Live Karaoke does not create any employment, performer, or professional relationship. You are participating voluntarily as a guest.

9. Assumption of Risk

You acknowledge that participating in a live performance involves inherent risks, including use of stage equipment, interaction with other participants, and live event conditions. You voluntarily assume all such risks.

10. Limitation of Liability

To the fullest extent permitted by applicable law, we are not liable for any direct, indirect, incidental, or consequential damages arising from your participation in the experience. Nothing in this Section limits any liability that cannot lawfully be excluded or limited under applicable law.

11. Data Privacy

Your personal data is processed by Live Karaoke LLC, as data controller, as described in the Live Karaoke Gig Privacy Policy, available at gig-us.livekaraoke.com/privacy, which is incorporated into these Terms by reference.

12. Changes to These Terms

We may update these Terms from time to time. For non-material changes (e.g., wording corrections, updated contact information), your continued use of Gig after such updates constitutes acceptance of the revised Terms. For material changes (including, without limitation, changes to Section 6), we will provide reasonable advance notice where practicable, and any such change will apply prospectively to future participation.

13. Electronic Acceptance

Acceptance of these Terms through Gig constitutes a legally binding agreement between you and Live Karaoke. We will record, at the time of acceptance, the version of these Terms accepted and the date and time of acceptance, for evidentiary purposes.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, to the extent permitted by applicable law. Disputes arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in the State of Florida, to the extent such venue is permitted by applicable law.

Live Karaoke Gig™ is a trademark of Live Karaoke Group, Inc., used under license by Live Karaoke LLC, a wholly-owned operating subsidiary of Live Karaoke Group, Inc., in the United States. Live Karaoke LLC is the entity responsible for operating Gig and acts as the data controller for information collected through it.
