These Terms govern participation on the Live Karaoke Gig™ platform (“Gig”) and in events operated by Live Karaoke.
Gig is used to register, manage, and communicate with musicians, technical staff, producers, stage assistants, dancers, and other professionals interested in participating in Live Karaoke events, collectively referred to as “Contractor” regardless of specific professional category.
By registering, accessing, or accepting invitations through Gig, Contractor acknowledges that they have read, understood, and agree to these Terms.
1.1. These Terms govern Contractor’s participation in Live Karaoke events on a non-exclusive, per-engagement basis, through acceptance of individual invitations via Gig.
1.2. Each accepted invitation constitutes a separate, independent engagement, specifying details including date, time, location, compensation, and applicable conditions for that specific engagement.
1.3. Contractor is responsible for providing all instruments, equipment, accessories, wardrobe, and personal items necessary for performance, unless otherwise agreed in the applicable invitation.
1.4. The expected format, duration, and structure of each performance — including whether it is continuous or includes breaks — are specified in the applicable invitation and agreed upon by Contractor at the time of acceptance. Contractor is not obligated to accept an engagement whose format does not work for them.
2.1. Registration on Gig is voluntary and does not guarantee participation in events.
2.2. Contractor is responsible for maintaining accurate and up-to-date personal and professional information.
2.3. Platform access is personal and non-transferable. Sharing login credentials is prohibited.
2.4. Contractor is responsible for maintaining the security of their account credentials.
2.5. Live Karaoke may suspend or remove a Contractor’s account in cases of: violation of these Terms; conduct that violates the applicable venue’s policies or creates a safety risk during an event; provision of false, incomplete, or misleading registration information; or conduct that poses a substantiated legal or safety risk to the operation, clients, or other participants.
2.6. Except in cases of a substantiated safety violation or unlawful conduct requiring immediate action, Live Karaoke will provide Contractor with advance notice and a brief statement of the reason before suspending or removing their account, and will offer Contractor an opportunity to respond before a final decision is made.
3.1. Compensation for each engagement is specified in the applicable invitation.
3.2. Payment will be made within up to seven (7) business days following the event, subject to submission of a valid invoice through Gig with all required information completed.
3.3. Contractor is solely responsible for all taxes, filings, and legal obligations related to compensation received, consistent with Contractor’s status as an independent contractor.
3.4. Payment constitutes full and final settlement of amounts related to the applicable engagement, absent a separate written agreement.
3.5. Payment is conditioned upon submission of a valid invoice through Gig.
3.6. Contractor is responsible for issuing invoices in compliance with applicable laws and regulations.
3.7. The compensation agreed for each engagement represents the total payment for services rendered under that engagement, including associated costs and expenses, unless the invitation expressly specifies additional reimbursable items.
3.8. Additional time worked beyond the scope specified in the invitation, if requested and approved by Live Karaoke in advance, will be compensated at a rate agreed at the time of the request.
4.1. Local travel within the event’s city or region is Contractor’s responsibility unless otherwise specified in the invitation.
4.2. For engagements requiring travel between cities or states, or flights or accommodations, logistics and related costs will be defined in advance and included in the invitation.
4.3. Expenses not pre-authorized in the invitation will not be reimbursed.
4.4. Contractor is responsible for their own equipment and materials, except where damage is demonstrated to have been caused exclusively by a third party or by Live Karaoke.
5.1. Contractor agrees to arrive at the time agreed for each engagement and to comply with the safety and venue-access requirements applicable to that event, as communicated in the invitation.
5.2. Contractor agrees to perform services in a manner consistent with the professional standard represented at the time of registration.
5.3. Contractor agrees to handle confidential information about Live Karaoke’s clients and operations that they may become aware of in connection with an engagement, consistent with the confidentiality obligations of an independent contractor providing services to a client’s event.
6.1. Contractor agrees to receive operational communications related to Gig and to engagements they have accepted or been invited to.
6.2. Communications may be sent via email, SMS, or other messaging applications.
6.3. These communications are operational in nature, related to gig invitations, confirmations, and event logistics — not promotional marketing.
6.4. Contractor may opt out of SMS communications at any time by replying STOP. Contractor acknowledges that opting out may limit or delay their ability to receive gig invitations and event-related information through that channel.
6.5. Live Karaoke operates an SMS notification program for crew members (musicians, technical staff, producers, stage assistants, dancers, and other professionals) registered with Live Karaoke Gig. When Contractor opts in, Live Karaoke sends text messages about gig invitations, booking confirmations, schedule changes, and reminders for events Contractor has been invited to or booked for. Live Karaoke does not send marketing or promotional messages through this program.
6.6. Opt-in occurs by checking the SMS consent box during registration at gig-us.livekaraoke.com and providing a mobile number. Consent is not a condition of registration or of being booked for work.
6.7. Message frequency varies based on gig activity. Message and data rates may apply; Live Karaoke does not charge for these messages, and any charges come from Contractor’s mobile carrier.
6.8. Replying STOP to any message stops future texts; Contractor will receive one confirmation message and no further messages unless they opt back in. Replying HELP to any message provides assistance, as does visiting livekaraoke.com.
6.9. Carriers are not liable for delayed or undelivered messages.
6.10. Contractor’s mobile number and consent are handled as described in the Live Karaoke Gig Privacy Policy. No mobile information is shared with third parties or affiliates for marketing or promotional purposes.
7.1. Contractor grants Live Karaoke the right to use Contractor’s image, voice, name, and recorded performance captured during events, on the following terms:
7.2. Contractor may request clarification of the scope of this authorization for a specific use, or request removal from future use of their image, by contacting Live Karaoke at the email below.
8.1. Contractor agrees not to directly solicit, for their own independent engagement outside of Gig, a specific end client that Live Karaoke introduced to Contractor through a Gig engagement (“Introduced Client”), for a period of twelve (12) months following Contractor’s last engagement involving that Introduced Client.
8.2. If Contractor breaches this provision, Live Karaoke may seek recovery of damages actually sustained, calculated based on the value of the engagement or contract Live Karaoke would reasonably have earned from the Introduced Client, and not based on Contractor’s fee, subject to applicable legal limits on liquidated or contractual damages.
9.1. Contractor is an independent contractor and not an employee, partner, or agent of Live Karaoke.
9.2. Each accepted invitation constitutes a separate, independent engagement. Contractor is free to decline any invitation without penalty or effect on their ability to receive future invitations, other than as described in Section 12.
9.3. Registration on Gig does not create any obligation for future engagements or any minimum frequency of invitations.
9.4. Contractor is not entitled to employment benefits, insurance, or compensation beyond the fees agreed for accepted engagements.
9.5. Live Karaoke does not guarantee any minimum number of engagements, earnings, or income.
9.6. Nothing in these Terms restricts Contractor’s ability to provide services to other clients or platforms, including during periods between Live Karaoke engagements.
10.1. Contractor’s personal data is processed by Live Karaoke LLC, as data controller, as described in the Live Karaoke Gig Privacy Policy, available at gig-us.livekaraoke.com/privacy, which is incorporated into these Terms by reference.
10.2. In the event of a conflict between this Section 10 and the Privacy Policy regarding the processing of personal data, the Privacy Policy will govern.
11.1. Live Karaoke may cancel an engagement without liability to Contractor if the end client fails to confirm or cancels the event, subject to any advance-notice compensation described in the applicable invitation.
11.2. If Contractor cancels a confirmed engagement without a valid reason and with insufficient notice, this may be considered, alongside other factors, in Live Karaoke’s future invitation decisions, as described in Section 12.
11.3. Cancellations due to illness, accident, or force majeure will not be treated as a reliability concern under Section 12.
12.1. Live Karaoke may consider factors such as client feedback, reliability, and engagement history when deciding which Contractors to invite to future opportunities. This process reflects client and operational input relevant to matching Contractors with events, and does not constitute a formal employment performance review.
12.2. This information is used internally for invitation and matching purposes and is not publicly disclosed.
13.1. If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
13.2. These Terms are binding upon the parties and their respective successors and assigns.
13.3. Live Karaoke may update these Terms from time to time. For non-material changes (e.g., wording corrections, updated contact information), continued use of Gig after such updates constitutes acceptance of the revised Terms. For material changes (including, without limitation, changes to compensation terms, Section 7, or Section 8), Live Karaoke will provide reasonable advance notice and will require Contractor’s explicit re-acceptance before the change applies to that Contractor.
14.1. Acceptance of these Terms through Gig constitutes a legally binding agreement between Contractor and Live Karaoke.
14.2. Live Karaoke will record, at the time of acceptance, the version of these Terms accepted, the date and time of acceptance, and the Contractor account associated with that acceptance, for evidentiary purposes.
15.1. These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Disputes arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in the State of Florida.
